Terms of Service — Juju's Kitchen

These Terms of Service ("Terms") are a legal agreement between you and Juju's Kitchen LLC ("Juju's Kitchen," "we," "us," or "our") governing your use of jujuskitchen.shop (the "Site") and any orders you place with us. By placing an order, creating an account, or otherwise using the Site, you agree to these Terms. If you do not agree, do not use the Site or place an order.

1. Eligibility

You must be at least 18 years old to place an order or create an account. By using the Site, you represent that you meet this requirement.

2. Description of Service

Juju's Kitchen prepares and sells meal-prep food items for delivery or pickup in our service area, on a weekly ordering cycle with a cutoff of 8:00 PM every Thursday. Orders placed and confirmed before the cutoff are prepared for the upcoming delivery or pickup window.

We offer two ways to order:

• One-time weekly orders: you place and pay for a new order each week.

• Recurring/subscription orders: you enroll once, and your order is automatically prepared and your payment method automatically charged each week according to your selected plan, until you cancel or skip.

3. Recurring Orders and Automatic Renewal

If you enroll in a recurring/subscription order plan, the following terms apply, in addition to the rest of these Terms:

• Recurring charge: your payment method on file will be automatically charged the applicable price each billing cycle (weekly, unless otherwise stated) until you cancel.

• Disclosure and consent: by enrolling, you affirmatively agree to these recurring-charge terms, including the frequency and amount of charges, and the cancellation method described below. We will show you these terms again at enrollment before you confirm your subscription.

• How to cancel or skip a week: you may cancel your subscription or skip an upcoming week at any time through your account portal on the Site, using the same self-service method you used to enroll. No phone call or email is required to cancel.

• Cutoff for that week's charge/refund: to avoid being charged for, or to cancel/skip, a specific week's order, you must do so at least 24 hours before the Thursday 8:00 PM cutoff for that week (i.e., by 8:00 PM the preceding Wednesday). Cancellations or skips submitted after that time apply starting the following week; see our [Return and Refund Policy] for how this affects refund eligibility.

• Price changes: if we change the price of your recurring order, we will notify you in advance in accordance with applicable law before the new price takes effect.

4. Ordering, Pricing, and Payment

• All prices are listed in U.S. dollars and are subject to change; the price shown at checkout for a given order applies to that order.

• We use a third-party payment processor to handle payment. By providing payment information, you authorize us (or our processor) to charge your payment method for all amounts due, including recurring charges under Section 3.

• We reserve the right to refuse or cancel any order, including for suspected fraud, errors in pricing or product information, or inability to fulfill the order.

5. Delivery and Pickup

• We offer both delivery and pickup, within the service area and pickup locations posted on the Site at the time of your order.

• Delivery times and windows are estimates; we are not responsible for delays caused by circumstances outside our reasonable control (traffic, weather, incorrect address information, etc.).

• You are responsible for providing an accurate delivery address and being available (or arranging a safe drop-off) at pickup or delivery. Orders that cannot be delivered or picked up due to inaccurate information or your unavailability may not be eligible for a refund; see our Return and Refund Policy.

6. Food Safety, Allergens, and Health Disclaimers

• Our meals are prepared in a kitchen that also handles common allergens, including (as applicable) milk, eggs, fish, shellfish, tree nuts, peanuts, wheat, soy, and sesame. We cannot guarantee that any item is completely free of any allergen due to shared equipment and preparation space.

• If you have a food allergy, intolerance, or other dietary restriction, it is your responsibility to notify us before ordering and to review ingredient information; we will make reasonable accommodations where possible but cannot guarantee elimination of cross-contact risk.

• Our food and any related content on the Site (including health or wellness-related descriptions) are not intended to diagnose, treat, cure, or prevent any disease, and are not a substitute for professional medical or nutritional advice. Consult a physician or registered dietitian regarding your individual dietary needs.

• Perishable food must be refrigerated and consumed within the timeframe we specify. We are not responsible for illness or spoilage resulting from improper storage or handling after delivery or pickup.

7. Accounts

If you create an account, you are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. Notify us immediately of any unauthorized use.

8. Prohibited Conduct

You agree not to: (a) use the Site for any unlawful purpose; (b) interfere with or disrupt the Site or our systems; (c) attempt to access accounts or data that are not yours; (d) resell orders placed through the Site without our written permission; or (e) submit false or fraudulent order or payment information.

9. User Content

If you submit reviews, photos, comments, or other content to us (including via email or social media), you grant Juju's Kitchen a non-exclusive, royalty-free, worldwide license to use, reproduce, and display that content in connection with promoting our business. You are solely responsible for content you submit and confirm you have the right to share it.

10. Intellectual Property

All content on the Site, including our name, logo, recipes, photography, and text, is owned by or licensed to Juju's Kitchen and protected by intellectual property law. You may not copy, reproduce, or use our content without our prior written permission.

11. Third-Party Services

The Site may use or link to third-party services (for example, our e-commerce, subscription-management, payment, and email platforms). We are not responsible for the practices or content of third-party services, which are governed by their own terms and privacy policies.

12. Disclaimer of Warranties

The Site and our products are provided "as is" and "as available," without warranties of any kind, express or implied, to the fullest extent permitted by law, other than any warranties that cannot be excluded under applicable law (including warranties related to food safety and fitness for consumption as required by California law).

13. Limitation of Liability

To the fullest extent permitted by law, Juju's Kitchen will not be liable for any indirect, incidental, special, or consequential damages arising from your use of the Site or our products. Our total liability for any claim relating to an order will not exceed the amount you paid for that order. Nothing in these Terms limits liability that cannot be limited under applicable law, including for personal injury caused by our negligence or for willful misconduct.

14. Indemnification

You agree to indemnify and hold Juju's Kitchen harmless from any claims, damages, or expenses (including reasonable attorneys' fees) arising from your violation of these Terms or misuse of the Site.

15. Changes to These Terms

We may update these Terms from time to time. The version posted on the Site at the time of your order or use applies. Material changes affecting recurring/subscription terms will be disclosed to enrolled subscribers in advance as required by law.

16. Governing Law and Venue

These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles. Any dispute will be resolved in the state or federal courts located in San Diego County, California, and you consent to jurisdiction and venue there.

17. Severability and Entire Agreement

If any provision of these Terms is found unenforceable, the remaining provisions remain in full effect. These Terms, together with our Return and Refund Policy and Privacy Policy, constitute the entire agreement between you and Juju's Kitchen regarding the Site.
